Terms of Service

Service: Red's Recipe Manager (hosted) · Provider: Newell Digital, LLC, Baltimore, Maryland · Effective date: October 1, 2026

These terms govern your use of the Red's Recipe Manager hosted service. By subscribing, you agree to them.

1. The service

Newell Digital hosts and manages one private instance of Red's Recipe Manager per restaurant business, on infrastructure it selects. The service includes hosting, backups, security updates, app updates, instance setup, the first admin account, and one training session.

2. Plans and payment

  • Subscriptions are offered as Single (1 location) or Group (2 to 5 locations), billed monthly or annually, under one ownership. The mobile companion app is included with an active subscription.
  • Payments are processed by Stripe, which acts as merchant of record and handles sales tax.
  • Recipe conversion is an optional one-time service, priced separately.

3. What counts as a location

A location is a kitchen that prepares food. A central office with no food production does not count. All locations on one instance must be under the same ownership.

4. Responsibilities

Newell Digital is responsible for hosting, availability, backups, updates, instance setup, and admin password resets on request.

You are responsible for your user accounts, staff password resets, your recipe content, and staff training after the first session.

5. Your data

  • Your recipes and related content are yours.
  • You are responsible for having the right to use the material you load or send for conversion.
  • You may request a recipe export at cancellation.

6. Cancellation and data retention

  • Service ends at the end of your paid period.
  • Your data is kept for 90 days after cancellation and then deleted.
  • You may request earlier deletion.
  • If you return within 90 days, your instance is restored with your data.

7. Support

Support is provided by email on business days (Monday through Friday, US Eastern time), with an initial response target of 3 business days. See the support policy for what is covered.

8. Service availability

Newell Digital uses reasonable efforts to keep the service available, but does not guarantee uninterrupted or error-free operation. The service may be unavailable at times for maintenance, updates, or reasons outside our control, including issues with third-party hosting or network providers.

9. Warranty disclaimer

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Newell Digital does not warrant that the service will meet your requirements or that it will be uninterrupted, timely, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Newell Digital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or relating to the service. Newell Digital's total liability for any claim relating to the service will not exceed the amount you paid for the service in the twelve months before the claim.

11. Changes to these terms

These terms may change over time. Material changes will be communicated to active customers, and continued use of the service after a change takes effect constitutes acceptance of the updated terms.

12. General

These terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law rules. If any provision is found unenforceable, the remaining provisions stay in effect. Questions: info@newelldigital.com.
